Terms of Service

These Terms of Service (“Terms”) govern your use of the AI.Dan website (aidan-ai.ca) and any services you purchase from Aidan Sugarman, doing business as AI.Dan (“AI.Dan”, “we”, “I”). AI.Dan is operated from Toronto, Ontario, Canada. By using this site or hiring AI.Dan, you agree to these Terms.

1. Services

AI.Dan provides custom website design and development, AI tools and automation, technology consulting, and optional ongoing maintenance (the “Care Plan”). The specific scope, deliverables, timeline, and price for any engagement are confirmed in writing before work begins.

2. Quotes and Pricing

  • Quotes are provided in writing after a free initial consultation.
  • Quoted prices are fixed for the agreed scope. Changes to scope after work has begun may be quoted separately and require your written approval.
  • All prices are in Canadian Dollars (CAD) unless otherwise stated. Applicable taxes (HST) are added where required.

3. Payment

  • Accepted methods: Interac e-Transfer (preferred) and credit card via Stripe.
  • For one-time projects, a deposit (typically 50% of the total) is due before work begins, with the balance due on delivery.
  • Care Plan subscribers are billed monthly in advance.
  • Payments more than 14 days overdue may result in a pause of services until resolved.

4. Intellectual Property

  • Upon full payment, all custom code, designs, and content created specifically for you become your property.
  • Third-party tools, libraries, and platforms used to build your project (such as Next.js, Vercel, Supabase, OpenAI, Google AI) remain governed by their respective licenses.
  • AI.Dan retains the right to display non-confidential project work in a portfolio for marketing purposes, unless you request otherwise in writing.

5. Care Plan

  • Billed at $55 CAD per month, plus applicable taxes.
  • Cancel anytime by emailing ai.dan23456433@gmail.com. Cancellation takes effect at the end of the current billing month.
  • Includes priority response (within 24 hours), small monthly updates, security monitoring, automatic backups, and a quarterly check-in. Larger requests are quoted separately.

6. Refunds

  • Project work: refunds are handled case-by-case. If work has not yet started, deposits are fully refundable. After work has begun, refunds reflect time and effort already invested.
  • Care Plan: monthly billing is non-refundable for the current month, but cancellation prevents future charges.

7. Charitable Giving

AI.Dan voluntarily donates 25% of all revenue (after platform and processing fees) toward school supplies and technology for underprivileged students. This commitment is voluntary and is not a binding contractual obligation enforceable by individual clients.

8. AI Output Disclaimer

  • AI tools and automations built by AI.Dan rely on third-party AI services (such as OpenAI, Google, and Anthropic) that can occasionally produce inaccurate, outdated, or unexpected output.
  • You are responsible for reviewing AI-generated output before using it in production, in client-facing communication, or in any decision with material consequences.
  • AI.Dan does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

9. Limitation of Liability

To the maximum extent permitted by Ontario law, AI.Dan's total liability for any claim relating to services provided is limited to the total amount you have paid for those services in the prior 90 days.

AI.Dan is not liable for indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data loss, or business interruption.

10. Confidentiality

Both parties agree to keep non-public business information shared during a project confidential and to use it only for the purpose of completing the agreed work.

11. Privacy

Information you submit through the contact form (name, email, phone, project details) is stored securely with reputable third-party providers (Supabase and Formspree) and used solely to respond to you and to communicate about a potential or active engagement. Your information is never sold or shared with outside parties for marketing.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable in Ontario. Any disputes arising from these Terms or services provided will be resolved in the courts of Ontario.

13. Changes to These Terms

AI.Dan may update these Terms occasionally. Material changes will be reflected by updating the “Last updated” date above. Continued use of the site or services after changes are posted constitutes acceptance of the new Terms.
